to join with Boards and administrative officials of Northern, Western
and Eastern Michigan Universities to:
1. Obtain written opinion of the Attorney General as to the validity
of the requirement for prior legislative approval as expressed
in Section 8 of Act 48 Public Acts Second Extra Session 1963.
2. If such opinion confirms that said provisions are unconstitutional,
make a concerted effort to get the legislature to repeal said
Section 8 of Act 48, as ameooed.

of the Central Michigan University Board of Trustees be sent to the
Chairman of the University Senate at the time the minutes are sent to the
print shop.

RESOLUTION OF THE BOARD OF TRUSTEES OF CENTRAL
r.UCHIGAN UNIVERSITY AUTHORIZING A T ERM BANK LOAN
IN THE PIUNCIPAL AMOUNT OF $500,000.00 FOR THE PURPOSE
OF ACQUIRING ADDITIONAL LAND
WHEREAS, the Board of Trustees of Central Michigan University,
a Corporation organized and eKist10g under the Cons titution of the
State of Michigan aoo having general supervision and control of
Central Michigan University, a public educational institution of
higher learning, located at Mount P leasant, Michigan, In the exercise
of its constitutional and statutory duties, has determined that
it Is necessary and expedient to borrow the sum of Five Hundred
Thousand ($500,000.00) Dollars, and in evidence thereof to issue
a Promissory Note for said principal amount, the proceeds of such
Note to be used for the purpose of aoquiring additional land for the
expansion of the fa oUities of Central Michigan University in connection
with self-licp.1ldating projects; and
WHEREAS, National Bank of Detroit, Detroit, Michigan, has agreed
to loan the Board the sum of $500 ,000. 00, which loan Is to be
evidenced by the Promissory Note of this Board; which principal
indebtedness fr om time to time owing on said Note shall bear
interest a t the rate of 3-1/ 4% per annum until maturity and at the

rate of 4% thereafter; which pr10c ipal indebtedness and accrued
interest shall be payable In full on or before J uly 1, 1975; and
which loans shall be subject to certain other terms and conditions
set forth in the Note and in the Term Loan Agreement to
be entered into by and between this Board, National Bank of
Detroit , and Ann Arbor Trust Company, of Ann Aroor. Michigan ,
as Trustee.
NOW, THEREFORE, BE IT RESOLVED that th is Board accept
the offer of Nat'ional Bank of Detroit to loan the aggregate sum of
$500,000.00 and to borrow said sum from said bank to provide
funds to be used to pay the costs of acquiring oodltionalland for
the expansion of the facflltles of Central Michigan University in
connection with self-liquidating p rojects, said sum to be borrowed
under the terms and conditions more speCifically set forth in a
Term Loan Agreement by and between this Board, National Bank
of Detroit, and Ann Arbor Trust Company, as Trustee, which said Term
Loan Agreement is hereby approved , and a copy thereof attaohed to
and made a part of this Resolution .
BE IT FURTHER RESOLVED that the P resident of Central Michigan
University, be and he Is hereby a uthorized and directed for and in
the name of the Board to execute tbe necessary Term Loan Agreement
am other instruments and documents necessary for the completion
of this Loan and the issuance of the Promissory Note of this
Board after the approval of the form and content Of said Agreement,
Note and other necessary documelts by legal counsel to the Univers
ity and the seal of said University shall be affixed to said Term
Loan Agreement and attested by the Secretary of this Board.
BE IT FURTHER RESOLVED that the P resident of Central Michigan
University is hereby authorized and directed for and in the name of
the Board, to execute said Note, and that the Secretary of this Board
Is hereby authorized and directed to affix the co rporate seal of
Central Michigan Unive r sity to Note and attest the same.
BE IT fURTHER RESOLVED that the aforementioned officers be
aM they are hereby authorized and directed for and in the name of
this Board, to deliver said Note to said Bank, to borrow said sum
aggregating $500, 000 . 00, In accordance with the commitment of
said Bank submitted by Ann Arbor Trust Company as Fiscal Agent
for this Board, and said Ann Arbor Trust Company Is authorized to
accept the proceeds of said loan and disburse said proceeds for the
purposes for which said loan was authorized.
BE IT F1JRTHER RESOLVED that this loan, the terms of the Term
Loan Agreement and the Promissory Note shall in no way pledge the
c redit of or create any liabiUty on the part of the State of Michigan ,

It was moved, seconded and carried that Roger Allen md Associates be
appointed architect on those buildings on which they have done considerable
work -- Library, Speech and Dramatics facility (Elementary School), 5th
Quadrangle of Dormitories and 48 married student apartments .
It was moved, seconded and carried that the resolution of May 27. 1964.
relative to the President's residence be amended to read:
Motion made, seconded and carried that the President live on
campus in the hoose pr.ovided and fully maintained; that this be
considered as in-kind remuneration at the previously established
rate of $1200 per year; that the total of this in-kind remuneration
plus the cash amount established be considered as the total salary
from which equal bi-weekly deductions of the in-kind pay is made;
and that this action be retroactive to January 1, 1965.
It was the concensus of opinion that the preparation of the proposed budget
for 1966-67 should go forward, that the Finance Committee of the Board
shoold review the request befor e submission to the Budget Office. and
report to the Board at the next meeting.
Mr. Bovee read a letter from Mr. Byron P. Gallagher which merely confirmed
the conditions of his appointment as the legal adviser to the Board.
It was agreed that the conditions as stated in the letter were correct. (Copy
of letter on file in the Secretary's Office.)
It was moved, seconded and carried that plans for the expansion of the
Beaver Island facility for biological purposes go forward.
The next regular meeting of the Board will be held on October 20, 1965,
in the University Center.

to the position of Dean of the School of Graduate Studies:

Office) .
