WHEREAS, This Board of Trustees of Central Michigan university
(the "Board") has received and reviewed a 1983 Telephone Syste,.
Project Administration Proposal, incorporated herein by this
reference (the "Administration Proposal") of the officers of
Centr,,1 Michigan Urllverslty (the "Administration") regarding
the acquisition, corlstruction and insullation or a new telephone
systelll for the campus of the lkllverslty, in the City of
I'Iount Pleasant, Michigan (laid telephone system, as more fully
described in the Admlnlstrat[on Proposel, together with any
additions, deletions or substitutlorls , the "Project"). and
WHEREAS, Given recent and foreseeab le changes In the telecOllr
munlcations Industry and the rates applicable to teleoommunlcatiorls
services, the Project will result in a significant cost
saving to the University relative to the cost of the current
telephone system, and therefore constitutes a necessary and
proper action of the Board; and
WHEREAS, It [5 necessary for the Soard to authorize and approve
the acquisition , construction and installation of the Project,
and to authorize alternative methods of financing the Project
and to delegate to the Administration the power to Investigate,
negotiate and enter Into such financing arrangements as will
be most advantageous to the University;
NO\rI, THEREFORE, BE IT RESOLVED That:
I. The acquisition, construction and installation of the
Project, as presented in the Administration Proposal, with
such additions thereto, deletions therefrom or substitutions
therefor as lOlly be approved by the President or Vice
President, Business and Finance, are hereby approved.
2. The President and any persons designated by the President
shall negotiate, eJUlcute Ind deliver on behalf of the Soard
such contracts, agreements and certl flcates as are necessary
to acquire , construct and install the Project.
3. The financing of the Project through anyone or more of the
methods set forth In the AdminlstrOilitlon Proposal, subject to
the conditions set forth therein. 15 hereby authorized and
approved; provided, hCl<lever. that the principal repaYl'"ent
schedules, Interest rates and rede"lltlon provisions of bondS
or other obligations Issued pursuant hereto shall be subject
to prior approval by the Chair of the Finance COITJIlittee of
the Soard.
4. The President or the Vice President, Business and Finance,
and such other officers, agents or representatives of the
Soard or the University as the President shall designate,

and deliver such agreeaoents, certIficates, doclments
and representations as they deem proper to acquIre,
conStruct and Install the Project and to finance the

or Vice President, Business and Finance, and each of them
shall negotiate, and subject to the terms and conditions
set forth herein, and the prior approval of the Chair of

any bonds, lease agreements , lease purchase cont r acts,
Installrrent Sales cont racts, service contracts or any
other financing agreements as sha ll be necessary or convenient
to the financing of the Project. The Admlnistratioo
and 115 office r s , and the officers of the Board are
hereby delegated and authorized to exe rcise any and al I
powers necessary or conveni ent to finance, construct,
acqul re, Install, i~lement and ca rry out the Project.
5. All resolutions or parts of resolutions Insofar as they
conflIct wi th the provisions of this Resolution are hereby
repealed to the extent of such conflict .
RESIDENCE SCHOLARSHIP FUND: (FlniMlce Conmittee)
